Terms of Service

Company: Simpl Home LLC ("Simpl Home," "we," "us," or "our")

By enrolling in a Simpl Home maintenance plan, requesting services, or submitting payment, you ("Customer," "you") agree to the following Terms of Service.

1. Scope of Services

  • Simpl Home provides service coordination, scheduling, vendor sourcing, billing management, and customer support for maintenance services, repairs, and projects ("Services").
  • Simpl Home does not perform trade work directly. All physical services are performed by independent third-party service providers ("Vendors").
  • Customers may request additional services beyond those included in their maintenance plan. Any such services will be quoted and billed separately upon Customer approval.

2. Maintenance Plans & Access

  • Customers enrolled in a Simpl Home maintenance plan receive access to Simpl Home for all home-related service requests.
  • Services included in a plan are outlined in the Customer's individual service agreement or plan summary.
  • Removing a service from a plan after it has been completed will result in a one-time charge for the value of services already rendered.

3. Payment Structure & Billing Authorization

3.1 Management Fees

Customers may pay Simpl Home's management fee:

  • Monthly as part of a maintenance plan, or
  • Upfront on an annual basis

Annual plans automatically renew unless cancelled at least 30 days prior to the renewal date.

3.2 Automatic Payments

By enrolling, Customer authorizes Simpl Home to:

  • Automatically charge monthly maintenance fees
  • Charge for any additional services, repairs, or projects requested and approved by the Customer
  • Charge the payment method on file (credit card or ACH)

3.3 Cardholder & ACH Authorization

By providing payment information, Customer expressly authorizes Simpl Home to:

  • Store payment credentials securely
  • Initiate recurring charges
  • Process one-time charges for approved services
  • Process ACH debits and credits where applicable

This authorization remains in effect until the account is cancelled in accordance with these Terms.

4. Service Account Deposit

  • Some customers may be required to maintain a service account deposit.
  • The deposit is used to advance payments to Vendors prior to Simpl Home receiving funds from the Customer.
  • The deposit is not a fee and is intended solely to float the account.
  • Upon account closure, any remaining deposit balance will be returned to the Customer, subject to outstanding charges.

5. Vendor Relationship & Liability

  • Vendors are independent contractors, not employees or agents of Simpl Home.
  • Simpl Home is responsible for coordinating services, not performing them.
  • Simpl Home does not assume liability for workmanship, materials, or service outcomes.
  • Simpl Home makes no representations or warranties, express or implied, regarding Vendor services, including but not limited to warranties of merchantability, fitness for a particular purpose, or workmanship.

If an issue arises:

  • Simpl Home will work in good faith to resolve the matter with the Vendor on behalf of the Customer.
  • Final resolution and liability rest with the Vendor performing the service.

6. Limitation of Liability

To the maximum extent permitted by law, Simpl Home's total liability arising out of or related to these Terms or the Services, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total management fees paid by Customer to Simpl Home in the twelve (12) months preceding the event giving rise to the claim.

In no event shall Simpl Home be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.

7. Indemnification

Customer agrees to indemnify, defend, and hold harmless Simpl Home, its members, managers, officers, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) Customer's misuse of the Services;
  • (b) Customer's violation of these Terms; or
  • (c) disputes between Customer and any Vendor.

8. Additional Services & Projects

  • Any services outside a Customer's maintenance plan require Customer approval.
  • Approved services are billed separately to the payment method on file.
  • If a Customer requests to add their existing vendor into a Simpl Home plan, a 5% coordination and processing fee will be added to the service cost.

9. Prepaid Fees & Refund Policy

  • All plan fees paid in advance (monthly, quarterly, semi-annual, or annual) are non-refundable.
  • Vendor service costs are refundable if the payment for a specific service has not yet been paid to the Vendor.

10. Service Account Balances & Credits

If a Customer has been paying into a service that has not yet been performed:

  • Those funds are reflected in the service account balance.
  • If the Customer cancels that service:
    • A positive balance will be credited back to the Customer
    • If the total service account balance is not positive at that point in the customer's calendar year, the credit (if any) will be reconciled at the end of the Customer's calendar year

11. Cancellations & Termination

  • Customers may cancel services by providing written notice.
  • Cancellation timing affects eligibility for service credits as described above.
  • Simpl Home reserves the right to suspend or terminate service for non-payment, fraud, or violation of these Terms.

12. Taxes

  • Simpl Home does not provide tax advice and is not responsible for determining, collecting, withholding, or remitting taxes unless explicitly stated in writing.
  • Any sales tax, use tax, VAT, or other governmental charges associated with services are the responsibility of the Customer and/or Vendor, as applicable.
  • Vendors are responsible for their own income reporting, payroll, and tax obligations.
  • Customers are responsible for any taxes required by law in connection with services received.
  • Where required by law, Simpl Home may collect applicable taxes from Customers on behalf of Vendors or taxing authorities and remit such taxes to the appropriate governmental entity. Such collection does not alter the allocation of tax responsibility as described above.

13. Communications Consent

By enrolling with Simpl Home, Customer expressly consents to receive communications from Simpl Home, including but not limited to:

  • Text messages (SMS)
  • Emails
  • Phone calls
  • Platform notifications

These communications may relate to:

  • Maintenance plan services
  • Scheduling and service updates
  • Billing and account notifications
  • Additional service requests

Standard message and data rates may apply. Consent may be revoked by written notice; however, revocation may limit Simpl Home's ability to provide services.

14. Eligibility

To use Simpl Home services:

  • Individuals must be at least 18 years of age
  • Business customers must be legally registered in the United States

By enrolling, Customer represents and warrants that they meet these eligibility requirements.

15. Data Use & Content Rights

Customer grants Simpl Home a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and display information and content related to services, including:

  • Property information
  • Service history
  • Invoices and service records
  • Communications related to service fulfillment

This data may be used solely for:

  • Providing and improving services
  • Customer support
  • Compliance, fraud prevention, and risk monitoring
  • Internal analytics and reporting

Simpl Home does not sell customer personal data and uses commercially reasonable safeguards to protect information.

16. Fraud Monitoring & Account Protection

Simpl Home actively monitors accounts for fraud, abuse, or suspicious activity. Simpl Home reserves the right to:

  • Pause transactions
  • Suspend services
  • Delay payments
  • Require additional verification
  • Terminate accounts when necessary

These actions may be taken without prior notice to protect Customers, Vendors, Simpl Home, and payment partners.

17. Error Resolution & Support

If a Customer believes an error has occurred or has a billing or service concern, please contact:

Simpl Home will investigate and work in good faith to resolve issues in a timely and commercially reasonable manner.

18. Compliance & Regulatory Matters

Simpl Home operates in compliance with applicable federal, state, and local laws, including but not limited to:

  • Payment processing regulations
  • Consumer protection laws
  • Anti-money laundering (AML) and fraud prevention standards
  • Data security, privacy, and PCI DSS compliance

Customers and Vendors agree to comply with all applicable laws related to their use of Simpl Home services.

19. PCI & Data Security

Simpl Home will comply with applicable data security standards, including PCI DSS where applicable, and shall implement reasonable security practices to protect customer payment information.

20. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or Simpl Home services shall be resolved as follows:

  • Good Faith Negotiation – Parties will first attempt to resolve disputes informally.
  • Binding Arbitration – If unresolved, disputes shall be settled by binding arbitration, rather than court litigation.
  • Arbitration shall be conducted in the state where Simpl Home is registered, unless otherwise agreed.
  • Arbitration shall be conducted pursuant to the rules of the American Arbitration Association (AAA).
  • Class actions are waived. Each party bears its own legal costs unless otherwise required by law.

21. Modifications to Terms

  • Simpl Home reserves the right to update or modify these Terms of Service at any time.
  • Updated Terms will be posted or provided to Customers
  • Continued use of services constitutes acceptance of updated Terms

22. Force Majeure

Simpl Home shall not be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, weather conditions, natural disasters, labor shortages, vendor availability, supply chain disruptions, governmental actions, power or internet outages, or other unforeseen circumstances.

23. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Georgia, without regard to conflict-of-law principles.
